UAE Free Zone Company Setup: Costs, Visas, Banking and Tax Explained
A free zone company can provide a flexible route into the UAE market, but the licence fee is only one part of the setup.
Before applying, founders should understand the complete cost, visa allocation, banking preparation and tax responsibilities connected to the company.
Planning these points early helps prevent unexpected charges and ensures that the selected package can support real business operations.
What Makes Up the Setup Cost?
There is no single cost for establishing a free zone company in the UAE.
The total amount may depend on:
- The selected free zone
- The business activity
- The legal structure
- The number of shareholders
- The type of licence
- The required office or facility
- The number of visas
- External approvals
- Government and immigration services
Some packages combine the registration, licence and workspace into one price. Other packages charge separately for immigration services, establishment records, visas and additional activities.
For this reason, two packages with similar advertised prices may have very different total costs.
Licence Package vs Operational Setup
A licence package may allow the company to be registered, but it may not include everything required to operate.
The business may also need:
- Investor or employee residence visas
- Medical examinations and Emirates ID procedures
- A private office or warehouse
- Accounting and bookkeeping
- Tax registrations
- Corporate documents and attestations
- Banking preparation
- Insurance
- Annual government services
A reliable cost estimate should show both the initial licence cost and the additional services the business will require.
How Do Visas Work?
The number of visas available is not the same across all free zones.
It may depend on the package, activity, type of premises and rules of the relevant authority.
A small package may provide no visas or only a limited number. A company planning to employ a team may require a larger office or a different package.
Before applying, confirm:
- Whether the package includes visa eligibility
- How many visas are available
- Whether the quota can be increased
- What office upgrade may be required
- Which immigration and residence fees are separate
This prevents the business from outgrowing its setup immediately after launch.
What Does the Bank Need?
Receiving a free zone licence does not guarantee the opening of a corporate bank account.
The final decision is made by the bank after reviewing its own compliance requirements.
The company should be prepared to explain:
- Its products or services
- The commercial experience of the shareholders
- The source of the startup funds
- The locations of customers and suppliers
- Expected turnover
- Expected transaction values and currencies
- The reason for operating from the UAE
Contracts, invoices, a business plan, supplier details or evidence of existing operations can help support the application when relevant.
The information provided to the bank should be consistent with the licence, website and company documents.
Does a Free Zone Company Pay Corporate Tax?
Free zone companies are not automatically exempt from Corporate Tax.
A Qualifying Free Zone Person can benefit from a zero per cent rate on qualifying income when all applicable conditions are satisfied. Other taxable income may be subject to the applicable Corporate Tax rate.
Free zone companies subject to Corporate Tax must also review their registration, filing and record-keeping responsibilities.
The company should receive tax advice based on its activity, customers and transactions rather than relying on a general statement that free zones are tax-free.
What About VAT?
A UAE-resident business must register for VAT when its taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to exceed that amount within the next 30 days.
Voluntary registration may be available when taxable supplies, imports or qualifying expenses exceed AED 187,500.
The company should monitor its turnover from the beginning instead of waiting until the threshold has already been exceeded.
Plan for Annual Renewal
The cost of maintaining the company is as important as the initial setup price.
Annual expenses may include:
- Licence renewal
- Workspace renewal
- Establishment and immigration renewals
- Visa renewals
- Accounting and tax compliance
- Insurance
- Activity permits
- Company amendments
Understanding the second-year cost helps the founder choose a structure that remains sustainable.
